<br />o <br /> <br />o <br /> <br />o <br /> <br />- <br /> <br />ORGANIZATIONAL STRUCTURE <br /> <br />Ceres Environmental Services, Inc. is a privately held company owned and operated by its President, <br />David Mcintyre. The company is headquartered in Sarasota, FL, with other Florida offices, and equipment <br />facilities, staging sites, and recycling centers in Minnesota, Texas, Louisiana, California, and Puerto Rico. <br />We also have joint venture agreements in Puerto Rico and the U.S. Virgin Islands. <br /> <br />Ceres is structured so that one or two of the corporate officers can leave headquarters for an extended <br />period of time and manage projects from the field, while one or two remain at the headquarters to ensure <br />continuity of management. This proved very useful when Ceres was awarded a $500 million contract by <br />the U.S. Army Corps of Engineers to perform a disaster debris contract following Hurricanes Katrina and <br />Rita in which the President and the Vice President both left corporate headquarters to go onsite in <br />Louisiana for over six months. <br /> <br />Ceres has found its disaster recovery work to be very project-based over the years. In response to this <br />circumstance, Ceres has organized its disaster response work in a manner that relies heavily on an <br />Operations Manager (OM) (see the organizational charts on the following pages). The OM supervises a <br />Program Manager who is in charge of all field production and also supervises a Project Administrator who <br />is in charge of administrative functions on a project basis. The Program Manager in turn supervises <br />several Area Managers (whose quantity depends on the size of the project), who supervise Sector <br />Managers, who supervise Site Managers. The Site Managers supervise a physical location, which may <br />be a TDSR site, a debris loading site, or a demolition site, and the personnel they supervise are generally <br />foremen or people physically performing the work. <br /> <br />In addition to the line managers, the Program Manager also supervises the work of a Logistics Manager <br />and an Area Administrator, who are staff people. At the Sector level, it is customary to have office staff. <br />The aforementioned hierarchy allows for optimal production in that multiple crews (depending on project <br />size) are supervised and maintained while all safety, data management, and tracking protocols are being <br />met in conjunction with quality performance. <br /> <br />The Project Administrator supervises the administrative staff on a field project. He and his staff provide <br />support for the line managers and supervisors in the field on the jobsite. The Small Business Plan <br />Administrator locates contracts with and administers relations with subcontractors. On large projects, the <br />Small Business Plan Administrator may have clerical help, and will provide technical support for our <br />subcontractors, such as assistance in preparing certified payrolls if required. The Information Technology <br />(IT) department is responsible for tracking all types of data on the project, record keeping, and database <br />management, and the accounting staff provides on site support for Ceres personnel. <br /> <br />The Internal Audit department is a fairly new addition to the Ceres management team. During the work on <br />Hurricane Katrina recovery, especially during the private property debris removal activities, Ceres' <br />management noticed that the quantity of quality control personnel was very high compared with the <br />quantity of traditional production personnel. In order to maintain assurance that a project was proceeding <br />as it should, and that personnel in all aspects of the project are performing as they should, Ceres has <br />instituted the position of Internal Audit Manager, who supervises Audit Managers. These individuals <br />review activities in the field as well as review files in the office to be sure that all Ceres employees are <br />doing their work as specified in the contract. The rigors of a Six Sigma program are not planned, but <br />Ceres senior management believes that this addition to our organization will help Ceres strengthen its <br />performance. <br /> <br />Ceres maintains a Corporate Health and Safety Officer to whom an Environmental Manager and a Project <br />Safety Officer report for each project underway. Sector Managers report to the Environmental Manager <br />and Project Safety Officer, and functional specialists work in the field with specialized training to fill <br />specific needs such as asbestos inspections. <br /> <br />The cac System Manager reports directly to the Company President, and supervises the area cac <br />Managers, who in turn supervise the Sector cac managers, who in turn supervise the functional <br />specialists. <br /> <br />C~RBsS <br /> <br />Tab 8 General Information <br />Section 8.2 Organizational Structure and Charts <br />Page 1 of 3 <br />
