<br />CORPORATE STAFF AND KEY MANAGEMENT PERSONNEL

<br />Ceres Environmental Services, Inc. Principals are: David Mcintyre, President; John Ulschmid, Vice
<br />President; Steven M. Johnson, Secretary. Ceres' professional staff includes these three corporate
<br />officers who have extensive individual emergency response experience of 31, 21, and 25 years
<br />respectively at Ceres. Ceres has additional professional staff of more than 30 individuals including those
<br />holding degrees in: Civil Engineering, Business Administration, Forestry, Geology, Science, and
<br />Accounting. As part of the Company's dedication to quality and safety, many of Ceres' management staff
<br />are u.S. Army Corps of Engineers certified in Construction Quality, are Red Cross certified in first aid,
<br />and have completed OSHA's 40 hour safety training course. Ceres' management has worked
<br />extensively on FEMA-reimbursed contracts, and has demonstrated its ability to respond to large-scale
<br />events.

<br />BRIEF BIOGRAPHIES OF KEY INDIVIDUALS
<br />David Mcintyre, President
<br />Mr. Mcintyre is currently the president and owner of both Ceres Environmental Services, Inc., and Ceres
<br />Caribe, Inc., an affiliated firm in Puerto Rico, and has been active in the management of these
<br />emergency response and construction businesses and their predecessors since 1977. As president, Mr.
<br />Mcintyre's responsibilities include executive supervision, quality assurance for products and services,
<br />capital resource allocation, and competitive market analysis. He has managed contracts totaling over
<br />$675 million concurrently. During the last 31 years, Mr. Mcintyre has distinguished himself by his ability
<br />to excel at recognizing market opportunities, assembling teams of highly competent people, efficiently
<br />applying capital resources, and providing a high-quality end result for satisfied customers. Mr. Mcintyre
<br />studied graduate-level physics at the University of Minnesota.

<br />John Ulschmid, Vice President and Operations Manager
<br />Mr. Ulschmid has more than 21 years experience in the management of Ceres' emergency response
<br />services, demolition projects, hazardous material projects, and tree removal and processing services,
<br />and is responsible for the Corporation's operations. Mr. Ulschmid has managed multiple disaster
<br />response projects simultaneously with revenues in excess of $325 million. This includes his project
<br />management of the 13.2 million cubic yard USACE Hurricane Katrina debris contract. Capabilities
<br />provided by Mr. Ulschmid include: project acquisition, project management, contract administration,
<br />regulatory agency liaison duties, and personnel management. Mr. Ulschmid studied business
<br />administration with an MIS emphasis at the University of Minnesota, is an ISA-certified Arborist, and a
<br />USACE certified quality control manager.

<br />Steven M. Johnson, Corporate Secretary and Business Manager
<br />Mr. Johnson has worked in Ceres' emergency management operations for more than 25 years. He has
<br />worked directly in the field supervising crew operations and has been responsible for overall project
<br />management on various disaster recovery efforts including ice storms, tornados, wind storms, and
<br />blizzards. Mr. Johnson is a corporate officer and the Business Manager for Ceres Environmental. He
<br />prepares annual corporate budgets in excess of $250 million, ties emergency operations into the
<br />corporate structure, arranges company financing, supervises corporate administrative personnel, and
<br />arranges all insurance matters. Mr. Johnson has a Bachelor of Science degree in Forestry and is FEMA
<br />certified in NIMS.

<br />William M. Hitchcock, FEMA Reimbursement Manager
<br />Mr. Hitchcock is a former Project Officer for the U.S. Department of Homeland Security - FEMA, with
<br />experience managing response and recovery to several hurricanes and the September 11 terrorist
<br />attacks. He provides expertise in assisting customers prepare Project Worksheets in all areas from
<br />FEMA categories A to G. He provides assurance that all documentation is collected properly and
<br />maintained in order to meet FEMA guidelines.
