ection I - Company Information continued Present Ownership and Key Management KM/Plaza is a joint venture between Plaza Contracting Company, LLC (Plaza) and Katz Meltzer Constuction Company (KM) created on January 1, 2007. The principal place of business and office of the joint venture is: 120 NE 27th Street, Suite 600 Miami, Florida 33137. The above address is also the location of the office that will be involved in this Project. The Joint Venture (JV) is licensed with the State of Florida as a General Contractor. Brad Meltzer, President of the JV, is the license holder of the entity and is based in the Miami office. ALL worked performed in the State of Florida by either party is per- formed as a joint venture. This is not a project specific joint venture. The JV is oper- ated as a seamless company with two ownership interests. The division of responsibities is as follows: The Executive Committee of KM/Plaza consists of the five (5) members, three of whom appointed by Plaza and two of whom appointed by KM. The members of the Executive Committee have the responsibility for supervising, directing, and overseeing the activities of KM, establishing the policies and operating procedures of the joint venture, managing the business and affairs of the joint venture. As determined by the Executive Committee, KM shall conduct the business of the joint venture on a day to day basis, perform the operations and management of the work called for by the Construction Agreements and any and all matters relating to execut- ing purchase orders, rental agreements, subcontracts, and other agreements. Plaza, at its principal office (260 Madison Avenue, NY, NY), shall keep and maintain the books of the JV. Plaza shall furnish statements and reports relating to the progress of performance of the joint venture and to the financial condition of the joint venture, to KM. Key Management Individuals is as follows: Richard Wood, Chairman Brad Meltzer, President Ron Katz, CEO There are no anticipated changes in overall corporate management ownership.
