<br /> <br />ection I - Company Information continued <br /> <br />Present Ownership and Key Management <br /> <br />KM/Plaza is a joint venture between Plaza Contracting Company, LLC (Plaza) and Katz <br />Meltzer Constuction Company (KM) created on January 1, 2007. The principal place of <br />business and office of the joint venture is: <br /> <br />120 NE 27th Street, Suite 600 <br />Miami, Florida 33137. <br /> <br />The above address is also the location of the office that will be involved in this Project. <br /> <br />The Joint Venture (JV) is licensed with the State of Florida as a General Contractor. <br />Brad Meltzer, President of the JV, is the license holder of the entity and is based in <br />the Miami office. ALL worked performed in the State of Florida by either party is per- <br />formed as a joint venture. This is not a project specific joint venture. The JV is oper- <br />ated as a seamless company with two ownership interests. <br /> <br />The division of responsibities is as follows: <br /> <br />The Executive Committee of KM/Plaza consists of the five (5) members, three of <br />whom appointed by Plaza and two of whom appointed by KM. The members of the <br />Executive Committee have the responsibility for supervising, directing, and overseeing <br />the activities of KM, establishing the policies and operating procedures of the joint <br />venture, managing the business and affairs of the joint venture. <br /> <br />As determined by the Executive Committee, KM shall conduct the business of the joint <br />venture on a day to day basis, perform the operations and management of the work <br />called for by the Construction Agreements and any and all matters relating to execut- <br />ing purchase orders, rental agreements, subcontracts, and other agreements. <br /> <br />Plaza, at its principal office (260 Madison Avenue, NY, NY), shall keep and maintain the <br />books of the JV. Plaza shall furnish statements and reports relating to the progress of <br />performance of the joint venture and to the financial condition of the joint venture, to <br />KM. <br /> <br />Key Management Individuals is as follows: <br /> <br />Richard Wood, Chairman <br />Brad Meltzer, President <br />Ron Katz, CEO <br /> <br />There are no anticipated changes in overall corporate management ownership. <br />
