<br />statement set forth on Page 1 of this Agreement.

<br />1.06 "SERVICES" means the professional services set fOlth and required, pursuant to the
<br />Agreement and described in further detail in Exhibit "A".
<br />
<br />1.07 "ADDmO/VAL SERVICES' means any professional services that the CITY may request the
<br />CONSULTANT to provide and perform pursuant to this Agreernent, which are not included in the
<br />SERVICES.
<br />
<br />1.08 "PARTIES' means the signatories to this Agreement.
<br />
<br />1.09 "CONTRACT AME/VDMENT"ll1eans a written document authorized by this Agreement which,
<br />when executed by both parties, sets forth any changes to the "Scope of Professional Services" that
<br />contemplates a change in the services, work, and materials to be provided and performed by the
<br />CONSULTANT pursuant to this Agreement, sets forth the basis of compensation due to the
<br />CONSULTANT therefore, and sets forth the time period and/or schedule for performance and
<br />completion thereof.

<br />1.10 "CONTRACT MA/VAGER"means the City Administrator or his designee, and shall be the point
<br />of contact between the Consultant and the City. The CONTRACT [\1ANAGER, within the authority
<br />conferred by Ordinance, acting as the City's designated representative shall issue written notification
<br />to the CONSULTANT of any and all changes, when duly approved pursuant to this Agreement, in the
<br />CONSULTANTS: (I) compensation (2) time and/or schedule of service delivery: (3) scope of
<br />services; and (4) any other Amendment(s) or change(s) pertaining to this Agreement. The
<br />CONTRACT MANAGER shall be responsible for acting on the City's behalf to administer, coordinate,
<br />interpret and otherwise manage the contractual provisions and requirements set forth in this
<br />Agreement, or CONTRACT AMENDMENT(S) issued there under. The Contract Manager shall also
<br />serve and act on the City's behalf, to provide direct contact and communication between the City
<br />and the Consultant, providing information, assistance, guidance, coordination, review, approval and
<br />acceptance of the professional services, work and materials to be provided and performed by the
<br />Consultant, pursuant to this agreement, and such Contract Amendment(s) as are duly authorized by
<br />this agreement, and issued by the Contract Manager. The Contract Manager shall also review and
<br />approve all requests submitted by the Consultant which involve payment for services and work
<br />provided and performed, pursuant to this Agreement, and approved Work Order(s) and Contract
<br />Amendment(s) thereto.
<br />
<br />1.11 ItPROJECT COORDINATOR' means the person employed or retained by the City and
<br />designated, in writing, to serve and act on the City's behalf to provide direct contact and
<br />communication between the CITY and CONSULTANT, providing information, assistance, guidance,
<br />coordination, review, approval and acceptance or-the professional services, work and materials to be
<br />provided and performed by the CONSULTANT pursuant to this Agreement and such CONTRACT
<br />AMENDIV1ENT(S) as are duly authorized by this Agreement, and issued by the CONTRACT MANAGER.
<br />The PROJECT COORDINATOR is not authorized to, and shall not, issue any verbal, or written
<br />request or instructions to the CONSULTANT that would have the effect, or be interpreted to have
<br />the effect, of modifying or changing in any way whatever the: (I) CONSULTANT; (2) the time the
<br />CONSULTANT is obligated to commence and complete all such services; (3) the amount of
<br />compensation the CITY is obligated or committed to pay the CONSULTANT. The PROJECT
<br />COORDINATOR shall review and make appropriate recommendations on all requests submitted by
<br />the CONSULTANT which involve payment for services and work provided and performed, pursuant
<br />this Agreement, and approved WORK CRDER(S) and CONTRACT AMENDMENT(S) thereto.
