'.NY 1E ° E AGREEMENT BETWEEN V ,a. CITY OF SUNNY ISLES BEACH AND SETH H. BRAMSON I.., CONTRACT NO. C0506 -60 THIS AGREEMENT, is entered into this ,'&day of So 1 2006, by and between the CITY OF SUNNY ISLES BEACH, a Florida municipal c rporation, located at 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (hereinafter referred to as "City ") and SETH H. BRAMSON, an individual, residing at 330 N.E. 961h Street, Miami Shores, Florida 33138 (hereinafter referred to as "Author "). WHEREAS, the City desires to retain a writer to create a book which will capture the City's history and provide a medium to inform residents and the general public about the City's rich and distinctive culture; and WHEREAS, the Author is a renowned writer and has a collection of historical and contemporary photographic images and artifacts relating to the City of Sunny Isles Beach and has expressed the desire and ability to produce a book which will be titled From Sandbar to Sophistication: The Story of Sunny Isles Beach (hereinafter referred as the "Book "); and WHEREAS, the Author has accepted a publication schedule from his publisher, The History Press ( "Publisher "), to deliver a final draft of the Book to the Publisher on or before October 31, 2006, as evidenced in the agreement between the Author and the Publisher, which is attached hereto and referenced as Exhibit "A ", and incorporated and made a part of this Agreement; and WHEREAS, the City has entered into a Purchase and Sale Agreement with Publisher, whereby the City will purchase 1,000 copies of the Book at a discounted price of Ten Dollars and Fifty -six Cents ($10.56), prior to the scheduled release of the Book on or before April, 2007, which is attached hereto and referenced as Exhibit "B ", and incorporated and made a part of this Agreement; and NOW THEREFORE, as part of the consideration for this Agreement the City and the Author hereby declare and agree to the following: Recitals. The above recitals are incorporated herein as if fully set forth. 2. Term. The term of this Agreement is for the specific purpose of writing a Book entitled From Sandbar to Sophistication: The Story of Sunny Isles Beach and shall terminate upon completion of the Book release and signings, unless terminated sooner in writing by the parties pursuant to paragraph 11. 3. Author's Obligations. The Author shall perform the following Services: (a) Provide the City, for its review and comments, a copy of the final draft of the Book, inclusive of all illustrations, prior to submittal to the publisher; and (b) Use photographs from Author's personal collection of vintage and contemporary photographs and images and other artifacts, as well as those submitted by the City's Historian; and C0506 -60 Agreement Between City of Sunny Isles Beach and Seth H.
