ALER17. <br /> TRAINING AND ACCEPTANCE <br /> System Training <br /> L-3 will provide one (1), four-hour training session to train up to ten (10) client personnel <br /> as trainers using a "train the trainer" model. The training includes system operation <br /> procedures and maintenance information for all system components. The client will <br /> designate three of those users as system administrators to undergo more extensive <br /> training. Training of all users will occur on one day to be determined by the client once <br /> the system has been installed. <br /> Testing and Acceptance <br /> The L-3 Project Manager and the designated Client Project Manager will develop a set <br /> of testing and acceptance criteria to be documented and signed by both parties within <br /> two (2) weeks after the Project Kickoff Meeting. These acceptance criteria will be <br /> utilized to determine that A) the equipment has been installed according to this Scope of <br /> Work and B) that the entire system has been completely installed and is acceptable by <br /> the Client. Client agrees that testing and acceptance shall be according to the <br /> component manufacturer's specifications. In the event that acceptance criteria cannot <br /> be agreed upon between the parties, the project will be suspended and no work will be <br /> performed until such issues have been resolved. <br /> Installation Acceptance <br /> 116 Installation <br /> Client will take full ownership and responsibility for any equipment immediately as any <br /> component has been delivered to client property. Client will provide a designated <br /> inspector to inspect, accept, and sign a delivery acceptance document provided by L-3. <br /> If the equipment is deemed unacceptable, L-3 shall remedy any problem to bring the <br /> installation into compliance with the manufacturer's specifications. After delivery, client <br /> shall be responsible for the cost of replacing and reinstalling any equipment that may <br /> become damaged, vandalized, or stolen. Unless force majeure conditions apply, <br /> delivered equipment that is not inspected or accepted by Client within four (4) calendar <br /> days after delivery will be deemed to be accepted by Client. Client will bear any <br /> additional costs incurred by L-3 for the replacement of equipment. <br /> Operational Acceptance <br /> The parties understand that certain components, once installed and connected, can <br /> become active and operational for their intended purpose. Such activation may thereby <br /> provide client with "beneficial use" of that component. Upon activation of a component <br /> of the system and demonstration that such component satisfies the applicable criteria in <br /> the acceptance test plan, client agrees to inspect, accept, and sign an operational <br /> acceptance document provided by L-3. If the component is deemed unacceptable for a <br /> reason other than improper installation or handling by the Client, L-3 shall remedy any <br /> problem to bring the equipment's operation into compliance with the testing and <br /> acceptance criteria. If the component is operational and provides beneficial use for its <br /> intended purpose but, for any reason, does not meet certain criteria listed in the <br /> acceptance test plan, client and L-3 may agree that such component is operational and <br /> therefore complete. <br /> 22 I L-3 Mobile-Vision <br />
