services being requested in this Request for Proposal (RFP). All per item charges will remain fixed for <br />the life of the contract and all optional renewal periods. However, in the event that any customer of <br />the Bank, having comparable deposits and transaction volumes, negotiates a lowerfeestructurefor <br />theserequestedservicesorsimilarservices,theBankshall notify the Finance Director within thirty (30) <br />days and shall extend the lower negotiated rate to the City retroactively to the first date the lower rate <br />was offered to another customer. ShouldtheBankfailtoprovidetheCitythelowernegotiatedrate <br />withinninety(90)days,the BankshallberequiredtoreimbursetheCitythedifferencebetweenthe <br />amounttheCitywas charged under its original contract and the amount the City would have been <br />charged under the lower negotiatedrate. <br />Synovus has provided our Proforma (Exhibit A)and completed Attachment A. <br />X.Confirmations <br />The bank must agree to respond to audit confirmations and requests for data, at no charge, as needed <br />from the Finance Department or its auditors. Proposer will provide a name and address for the audit <br />confirmation letter. <br />The City will need to notify their dedicated relationship manager for assistance with audit <br />confirmations and requests. <br />Y.ContinuousService <br />ThebankwillmaintainsufficientstafftosupporttheCity’srequirementson a continuingbasis without <br />interruptionofservice.Severeorrepeatedbreakdownsofserviceforthisreasonwill be cause for <br />termination of the contract.
