City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 <br />(305) 947-0606 phone (305) 949-3113 Fax <br />WHEREAS, the City desires to enter into an agreement with Contractor, using <br />Sourcewell's bid and resulting Contract No. 061323 -IFA to provide the Services, and also using <br />the waiver provisions of Section 62-12 for the Open Market Items; and <br />WHEREAS, the City wishes to enter into this Agreement with Contractor to provide the <br />desired Services, including the Open Market Items, as more particularly described in Attachment <br />"A" for an amount of Two Hundred Fourteen Thousand Five Hundred Sixty -One Dollars and Eight <br />Cents ($214,561.08), plus Sixty -One Thousand Dollars and No Cents ($61,000.00) as a <br />contingency amount, if necessary, resulting in a total not -to -exceed amount of Two Hundred <br />Seventy -Five Thousand Five Hundred Sixty -One Dollars and Eight Cents ($275,561.08); <br />NOW THEREFORE, in consideration of the promises and the mutual covenants set forth <br />herein, the parties agree as follows: <br />TERMS <br />1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement <br />and made a part hereof for reference. <br />2. THE CONTRACT DOCUMENTS. The Contract Documents consist of this Agreement, <br />as well as the terms and conditions of RFP No. 061323, entitled "Flooring Materials, with Related <br />Supplies and Services," and awarded Contract No. 061323 -IFA, which are specifically <br />incorporated herein and made a part hereof collectively as Attachment "B," as well as Contractor's <br />Proposal, attached and incorporated herein as Attachment "A" (hereinafter referred to collectively <br />as "Contract Documents"). In the event of any conflict between or among the contract documents <br />or any ambiguity or missing specifications or instruction, the following priority is established: <br />A. First, this Agreement — Contract No. 2025-8361. <br />B. Second, Contractor's Proposal, appended as Attachment "A." <br />C. Third, the terms and conditions of RFP No. 061323, entitled "Flooring Materials, with <br />Related Supplies and Services," and awarded Contract No. 061323 -IFA, appended <br />collectively as Attachment `B." <br />3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions <br />set forth in the Contract Documents, specifically, renovating the fourth floor of the Government <br />Center, which includes the purchasing of necessary supplies, labor for the removal of existing <br />carpeting and wallpaper, the moving of furniture, painting, and the installation of new carpeting. <br />Contractor shall submit its Proposed Schedule and identify its milestone completion <br />deadlines within 10 days from the date of the execution of this Agreement. <br />Clean -un: At all times, including after each work shift, Contractor shall keep the premises free <br />from accumulation of waste materials or rubbish caused by its employees or the Work, and leave <br />all areas in good condition for continuity of City's operations. Upon final completion of the Work <br />and before acceptance and final payment shall be made, Contractor shall clean and remove from <br />the property, all surplus and discarded materials, rubbish, and equipment. Contractor is responsible <br />for hauling all construction debris. Contractor shall restore in an acceptable manner all property <br />which has been damaged as a result of the Work. The Contractor shall leave entire area and vicinity <br />unobstructed and in a neat and presentable condition. <br />COMMERCIAL INTERIOR CONTRACTORS CORP. 2 <br />
