only in a court of competent jurisdiction in Miami-Dade County, Florida. <br /> 20. WAIVER OF JURY TRIAL. The Parties understand and agree that as a <br /> material inducement for entering into this Lease Agreement, they are each waiving any right <br /> they may have to a jury trial for any dispute arising out of or relating to this Lease <br /> Agreement. In other words, the Parties agree that if there is ever a dispute between the Parties <br /> • arising out of or relating to this Lease Agreement, a judge and not a'jury will resolve the matter <br /> in its entirety. <br /> 21. ENTIRE AGREEMENT. This Lease Agreement contains all of the terms and <br /> conditions agreed upon by the Parties regarding the subject matter of this Lease Agreement. <br /> Any other prior agreements, promises, negotiations or representations, either oral or written, <br /> relating to the subject matter of this Lease Agreement are of no force or effect. This Lease <br /> Agreement is executed without reliance upon any representation by any person other than the <br /> representations in this Lease Agreement. <br /> 22. MISCELLANEOUS. In connection with any litigation including appellate <br /> proceedings arising out of this Lease Agreement, the prevailing party shall be entitled to recover <br /> its reasonable attorneys' fees and costs. The partial or complete invalidity of any one or more <br /> provisions of this Lease Agreement shall not affect the validity or continuing force and effect of <br /> any other provision. The failure of either party hereto to insist, in any one or more instances, <br /> upon the performance of any of the terms,covenants or conditions of this Lease Agreement,or to <br /> exercise any right herein, shall not be construed as a waiver or relinquishment of such term, <br /> covenant,condition or right as respects further performance. This Lease Agreement may not be <br /> amended or modified except by an instrument in writing signed by the party against whom <br /> enforcement of such amendment or modification is sought.
