Subcontractors Alpine Towing will not utilize the services of any sub-contractor(s) for any part of this RFP. Event of Default Alpine Towing understands that any Event of Default shall mean a breach of the Agreement. Alpine also understands that an Event of Default shall include the following: 1. Routinely does not deliver service on a timely basis; 2. Has refused or failed, except when an extension of time is provided, to supply enough properly skilled staff; 3. Failed to make prompt payment to subcontractors or suppliers for any Services; 4. Has become insolvent (other than as interdicted by the bankruptcy laws), or has assigned the proceeds received for the benefit of the Contractor's creditors, or has taken advantage of any insolvency statute or debtor/creditor law or if it's affairs has been placed in the hands of a receiver; 5. Has failed to obtain approval of the City where required by this agreement; 6. Has failed in the representation of any warranties stated herein. Termination for Convenience Alpine towing understands that this agreement may be terminated by the City without cause upon written notice. In the event of such a termination without cause, the City will compensate Alpine Towing for all services performed to the City's satisfaction and prior to termination. Protection of Property Alpine Towing shall take extra precaution to protect all property while conducting services. Any damage done by Alpine Towing shall be corrected to its original or better state, and shall be corrected to the satisfaction of the Contract Manager or designee. Local, State,and Federal Compliance Requirements Alpine Towing agrees to comply, subject to applicable professional standards, with the provisions of any and all applicable Federal, State, County and City orders, statutes, ordinances, rules and regulations which may pertain to the Services required under this RFP, including but not limited to: A. 41 CFR 60-1.4 — Equal opportunity clause. Such action shall include, but not limited to the following: Employment, upgrading, demotion, or transfer, recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. Alpine Towing agrees to post in conspicuous places, available to employees and 410 applicants for employment, notices to be provided by the contracting officer setting forth the provisions of this nondiscrimination clause.
