Subcontractors <br /> Alpine Towing will not utilize the services of any sub-contractor(s) for any part of this RFP. <br /> Event of Default <br /> Alpine Towing understands that any Event of Default shall mean a breach of the Agreement. Alpine <br /> also understands that an Event of Default shall include the following: <br /> 1. Routinely does not deliver service on a timely basis; <br /> 2. Has refused or failed, except when an extension of time is provided, to supply enough properly skilled <br /> staff; <br /> 3. Failed to make prompt payment to subcontractors or suppliers for any Services; <br /> 4. Has become insolvent (other than as interdicted by the bankruptcy laws), or has assigned the proceeds <br /> received for the benefit of the Contractor's creditors, or has taken advantage of any insolvency statute <br /> or debtor/creditor law or if it's affairs has been placed in the hands of a receiver; <br /> 5. Has failed to obtain approval of the City where required by this agreement; <br /> 6. Has failed in the representation of any warranties stated herein. <br /> Termination for Convenience <br /> Alpine towing understands that this agreement may be terminated by the City without cause upon written <br /> notice. In the event of such a termination without cause, the City will compensate Alpine Towing for all services <br /> performed to the City's satisfaction and prior to termination. <br /> Protection of Property <br /> Alpine Towing shall take extra precaution to protect all property while conducting services. Any damage done <br /> by Alpine Towing shall be corrected to its original or better state, and shall be corrected to the satisfaction of the <br /> Contract Manager or designee. <br /> Local, State,and Federal Compliance Requirements <br /> Alpine Towing agrees to comply, subject to applicable professional standards, with the provisions of any and all <br /> applicable Federal, State, County and City orders, statutes, ordinances, rules and regulations which may pertain <br /> to the Services required under this RFP, including but not limited to: <br /> A. 41 CFR 60-1.4 — Equal opportunity clause. Alpine does not discriminate against any employee or <br /> applicant because of race, color, religion, sex, sexual orientation, gender identity or national origin. <br /> Alpine Towing takes affirmative action to ensure that applicants are employed, and that all employees <br /> are treated during employment, without regard to their race, color, religion, sex, sexual orientation, <br /> gender identity, or national origin. Such action shall include, but not limited to the following: <br /> Employment, upgrading, demotion, or transfer, recruitment or recruitment advertising; layoff or <br /> termination; rates of pay or other forms of compensation; and selection for training, including <br /> apprenticeship. Alpine Towing agrees to post in conspicuous places, available to employees and <br /> 410 applicants for employment, notices to be provided by the contracting officer setting forth the provisions <br /> of this nondiscrimination clause. <br /> (7. y pre /7.....11 <br />
